1. Acceptance of Terms

By subscribing to, accessing, or using the software services provided by Autodessys, Inc. (the “Company”), you acknowledge and agree to be bound by the following Terms and Conditions. If you do not agree with any part of these terms, please do not use the software. All Software is licensed as a Subscription or Perpetual license as determined by selection made at the time of purchase.

2. For Subscription Software Managed in the Cloud

• a. Subscription Period: The subscription period commences upon purchase and continues for the duration specified in the chosen plan.
• b. Payment: Users are obligated to pay the subscription fees as per the selected plan. Payment details must be accurate and current. Failure to pay may result in suspension or termination of access.
• c. Cancellation: Subscribers may cancel their subscription at any time, and the cancellation will take effect at the end of the current billing cycle. No refunds will be provided for partial subscription periods.
• d. Renewal: Subscription plans may automatically renew unless canceled by the user. The Company will notify users in advance of upcoming renewals.
• e. Cloud Management: The perpetual software is managed in the cloud by the Company. Users are responsible for maintaining a suitable internet connection for accessing and managing the software.

3. For Perpetual Software Managed in the Cloud

• a. License Grant: Users are granted a non-exclusive, non-transferable license to use the perpetual software for an unlimited duration. This license is subject to compliance with these terms.
• b. Cloud Management: The perpetual software is managed in the cloud by the Company. Users are responsible for maintaining a suitable internet connection for accessing and managing the software.

4. Use and Restrictions

• a. Authorized Users: Users agree to use the software solely for their internal business purposes and only by authorized users. Unauthorized access is strictly prohibited.
• b. Restrictions: Users may not copy, modify, distribute, sell, or lease any part of the software. Reverse engineering, decompiling, or disassembling the software is strictly prohibited.

5. Data Security and Privacy

• a. Data Protection: The Company will implement reasonable measures to safeguard user data. Users are responsible for maintaining the confidentiality of their account credentials.
• b. Data Ownership: Users retain ownership of their data. The Company may process user data to provide and improve the software services but will not share it with third parties unless required by law.

6. Support and Maintenance

• a. Support Services: The Company will provide support services as outlined in the chosen subscription or support plan. Please contact support@formz.com for any installation or technical support questions.
• b. Updates and Maintenance: The Company reserves the right to update, modify, or temporarily suspend the software for maintenance purposes. Users will be notified in advance whenever possible.

7. Termination

• a. Termination by User: Users may terminate their subscription or perpetual license at any time by providing written notice to the Company.
• b. Termination by Company: The Company reserves the right to suspend or terminate access to the software if users violate these terms. In the case of perpetual software, termination may occur in the event of non-payment of maintenance fees.

8. Changes to Terms

The Company may modify these terms at any time. Users will be notified of changes, and continued use of the software constitutes acceptance of the modified terms.

9. Email Correspondence

• a. Communication: By using this software or creating an user account, users agree to receive important information and updates via email. This includes renewal reminders, service notifications, and promotional offers.
• b. Opt-Out: Users can opt out of non-essential email communications, such as promotional offers, by following the unsubscribe instructions provided in each email.

10. Hold Harmless for Use of Third Party Services

Third-Party Services: The Company may use third-party services to enhance or support the software. Users agree that the Company shall not be liable for any damages, losses, or expenses incurred as a result of the actions or omissions of third-party service providers.

11. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the state of Ohio, United States of America. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in the state of Ohio, United States of America.
